Company Name Reservation

Online Application

  • Visit the Office of the Company Registrar (OCR) portal at application.ocr.gov.np
  • Create an account on the OCR portal
  • Conduct a name search to ensure your desired company name is unique
  • Submit up to three preferred names in order of preference (both English and Nepali)
  • Wait for approval (typically 1-2 working days)

Note: Name approval is valid for 3 months

Required Documents:

  • Memorandum of Association (MOA): Outlines company objectives and capital structure
  • Articles of Association (AOA): Details internal management and operational rules
  • Application Form (Form A): Available on OCR portal
  • Promoters' Identification: Citizenship certificates (Nepali) or passports (foreign nationals)
  • Consent Letters: From all appointed directors
  • Lease Agreement or Ownership Deed: Proof of registered office address
  • Photographs: Passport-sized photos of shareholders and directors
  • Power of Attorney: If a representative is handling registration

  • Log in to your OCR portal account

  • Upload scanned copies of all documents in PDF format

Payment Methods: Online via ConnectIPS, eSewa, or upload bank deposit slip

  • Verification typically takes 2-3 working days
  • OCR may request additional information or corrections if needed

  • Upon successful verification, OCR issues Certificate of Incorporation
  • Certificate includes company registration number and date
  • Private companies can commence business immediately

  • PAN Registration: Obtain Permanent Account Number from Inland Revenue Department (IRD)
  • Ward Registration: Register company with local municipal ward office
  • Business Licenses: Acquire industry-specific licenses or permits
  • VAT Registration: Register for VAT if annual turnover exceeds NPR 2 million
  • Social Security Fund (SSF): Enroll if employing 10 or more workers
  • Share Registry: Set up share registry for banking and financial purposes
